Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("Contractor," "you") and Snapline LLC ("Snapline," "we," "us"). By creating an account or using the Snapline platform, you agree to these Terms.

If you do not agree, do not use Snapline.

1. Service Description

Snapline is a contractor operations platform for residential service businesses. The platform provides:

Snapline is provided as a web application at snaplineops.com. There is no native mobile app — the PWA provides the mobile experience.

2. Account Registration

Eligibility

You must be at least 18 years old and legally able to enter into contracts. Snapline accounts are for businesses — you represent that you are operating a legitimate contracting business or are authorized to act on behalf of one.

Account Requirements

Account Termination by Snapline

We may suspend or terminate your account if you: - Violate these Terms or our Acceptable Use Policy - Fail to pay subscription fees after the grace period (see Section 5) - Engage in fraud or illegal activity - Provide false information during registration

For violations other than fraud or illegal activity, we will provide 30 days' written notice before termination and an opportunity to cure the violation.

3. Free Trial

Snapline offers a 14-day free trial with full access to all features at your selected plan tier.

4. Subscription Plans and Billing

All plans include unlimited jobs, quotes, invoices, email notifications, web push, photo uploads, Stripe payment processing, and review automation.

Billing

Plan Changes

Price Changes

We may change subscription prices with at least 30 days' written notice (via email). Price changes take effect at the start of your next billing cycle after the notice period. If you disagree with a price change, you may cancel before it takes effect.

Taxes

Subscription fees may be subject to sales tax depending on your location. Stripe Tax calculates and collects applicable taxes automatically. Tax amounts are shown during checkout.

5. Payment Failure and Grace Period

If a payment fails:

Day What Happens
Day 0 Payment fails. You receive an email asking you to update your payment method. Full access continues.
Day 5 Stripe retries payment. If it fails again, you receive another email.
Day 8 Your account enters read-only mode. You can view data but not create new jobs or use AI features.
Day 9 Stripe retries payment a final time.
Day 14 If all retries fail, your subscription is cancelled. Read-only access continues for 90 days (see Section 7).

You can update your payment method at any time during this period to restore full access immediately.

6. AI Features and Quotas

What AI Does

Snapline offers optional AI features: - Photo analysis — identifies hazards, estimates equipment age, provides context (runs in the background on upload) - Text polish — improves the clarity and tone of notes, quotes, and invoices (triggered by "Polish with AI" button)

AI Quotas

Each plan includes a monthly AI request allowance (see Section 4). One photo analysis or one text polish = one AI request.

AI Overages

When you exceed your monthly quota, you can: - Wait until your quota resets next month - Purchase additional requests at $0.10 per request (minimum purchase: 100 requests for $10) - Continue using Snapline without AI features

AI Disclaimer

AI features are provided as suggestions only. You are responsible for reviewing and editing all AI output before sharing it with customers. Snapline makes no warranty that AI output is accurate, complete, or suitable for any particular purpose. Do not rely on AI analysis for safety-critical decisions (e.g., structural assessments, hazard determinations) without independent professional verification.

7. Cancellation and Refunds

How to Cancel

You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing cycle.

Refund Policy

Snapline does not issue refunds for partial billing periods. When you cancel, you keep full access until the end of the period you've already paid for.

Resubscribing

You can resubscribe at any time during the 90-day read-only period to restore full access to your existing data. After 90 days, data deletion is irreversible.

Data Export

You can export your data (jobs, customers, quotes, invoices) as CSV files at any time, including during the 90-day read-only period.

8. Stripe Connect (Customer Payments)

How It Works

Snapline uses Stripe Connect to enable your customers to pay you for completed work. When a customer pays via a Snapline payment link:

  1. Payment goes directly to your Stripe Connect account
  2. Stripe settles funds to your linked bank account
  3. Snapline may deduct an application fee (disclosed in-app before you enable payments)

Snapline's Role

Snapline is a software platform that generates payment links. Snapline is not a party to the financial transaction between you and your customer. Snapline never holds, controls, or has access to customer payment funds.

Stripe's Terms

Your use of Stripe Connect is subject to Stripe's Connected Account Agreement. You must complete Stripe's onboarding (identity verification, bank account linking) before you can accept customer payments.

Compliance

Stripe handles all payment compliance, including: - KYC (Know Your Customer) verification for your account - 1099-K tax reporting for payments exceeding $600/year - Money transmitter licensing in all 50 states - Anti-money laundering (AML) compliance

9. Customer Data and Privacy

Controller/Processor Relationship

You (the contractor) are the data controller for your customers' personal information. Snapline is the data processor — we process customer data on your behalf according to your instructions (i.e., normal use of the platform).

Your Responsibilities

As the data controller, you are responsible for: - Having a legal basis to collect and store customer information - Informing customers that you use Snapline to manage their data - Responding to customer privacy requests (right to know, right to delete) - Complying with applicable privacy laws (CCPA, state laws) for your customers' data

Snapline's Responsibilities

As the data processor, Snapline will: - Process customer data only for the purpose of operating the platform - Not sell, rent, or share customer data with third parties (beyond our subprocessors) - Notify you promptly if we discover a data breach affecting your customers - Delete customer data per our retention policy when you cancel your account

10. Intellectual Property

Your Data

You own all data you create on Snapline — job records, photos, customer information, quotes, invoices, notes. Snapline does not claim ownership of your content.

You grant Snapline a limited license to store, process, display, and transmit your data solely for the purpose of operating the service. This license ends when your data is deleted.

AI-Generated Content

Content generated by AI features (photo analysis text, polished notes) is your property once generated. Snapline does not claim ownership of AI-generated output.

Snapline's IP

Snapline owns the platform, software, design, documentation, and brand. These Terms do not transfer any Snapline intellectual property to you. You may not copy, modify, distribute, or create derivative works of Snapline's software.

Photos and AI Training

Your photos are never used to train AI models — not by Snapline, and not by our AI provider (Anthropic). Photos are processed ephemerally for analysis and are not retained by the AI service after the request completes.

11. Acceptable Use

You agree to comply with our Acceptable Use Policy, which describes permitted and prohibited uses of the platform. The AUP is incorporated into these Terms by reference.

12. Limitation of Liability

Cap on Damages

To the maximum extent permitted by law, Snapline's total liability to you for any claims arising from or related to these Terms or your use of the service is limited to the total fees you paid to Snapline in the 12 months preceding the claim.

No Consequential Damages

To the maximum extent permitted by law, Snapline is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: - Loss of revenue, profits, or business - Loss of data (beyond our stated retention commitments) - Cost of substitute services - Damages resulting from AI output

"As Is" Service

Snapline is provided "as is" and "as available." We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Exceptions

Nothing in this section limits liability for: - Snapline's gross negligence or willful misconduct - Snapline's breach of its data protection obligations - Liability that cannot be excluded by law

13. Indemnification

You agree to indemnify, defend, and hold harmless Snapline and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

14. Suspension and Termination

By You

You may cancel your subscription at any time (see Section 7).

By Snapline for Cause

We may suspend or terminate your account immediately for: - Fraud or illegal activity - Severe AUP violations (harassment, harmful content) - Actions that threaten the security or stability of the platform

By Snapline Without Cause

We may discontinue your account with 30 days' written notice for any reason. You retain access through the end of your current billing period.

Effect of Termination

Upon termination: - Your access to the platform is suspended (immediate for cause, end of period for cancellation) - Read-only access continues for 90 days - After 90 days, all data is permanently deleted - Sections that should survive termination (limitation of liability, indemnification, governing law) continue to apply

15. Modifications to Terms

We may update these Terms as the platform evolves. We will:

  1. Email you at least 30 days before material changes take effect
  2. Update the "Last Updated" date at the top of this document
  3. Clearly describe what changed

Continued use of Snapline after the effective date constitutes acceptance. If you disagree with the changes, you may cancel before they take effect.

16. Governing Law and Disputes

Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.

Jurisdiction

Any disputes arising from these Terms or your use of Snapline will be resolved exclusively in the state or federal courts located in Philadelphia County, Pennsylvania. You consent to the personal jurisdiction of these courts.

Informal Resolution First

Before filing any claim, you agree to contact us at support@snaplineops.com and attempt to resolve the dispute informally for at least 30 days.

17. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, Data Processing Addendum, and Cookie & Storage Policy, constitute the entire agreement between you and Snapline.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.

No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign your rights or obligations under these Terms without our written consent. Snapline may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure

Snapline is not liable for failure to perform due to events beyond our reasonable control, including natural disasters, wars, pandemics, internet outages, power failures, or government actions.

Notices to you will be sent to the email address on your account. Notices to Snapline should be sent to support@snaplineops.com.
